1) Acceptance of Terms
- By visiting, using, or purchasing from Styewdio ("we," "us," "our", "I"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please refrain from using our site and services.
2) Access and Use
- We grant you a personal, non-transferable, non-sublicensable license to access and use the site for lawful purposes in accordance with these Terms.
- You agree not to misuse the site (e.g., tampering with security, disrupting services, or infringing intellectual property).
3) Intellectual Property
- All content on the site, including text, images, designs, logos, product names, and layouts, is the property of Styewdio or its licensors and is protected by applicable intellectual property laws.
- You may view and download content for personal, non-commercial use only. Reproduction, distribution, modification, or commercial use requires prior written consent.
4) Products and Services
- Descriptions: We strive for accuracy in product descriptions, pricing, and available stock. However, errors may occur; we reserve the right to correct any inaccuracies and to discontinue or modify products without notice.
- Limited editions and commissions: Each commission or limited-run product is subject to a separate agreement detailing scope, timeline, pricing, and delivery.
5) Pricing and Payment
- Prices: All prices are listed in the applicable currency and exclude taxes, shipping, and insurance unless stated otherwise.
- Deposits for commissions: A 50% deposit is required to commence production on commissioned pieces. The balance is due prior to commencement of work. We reserve the right to reject any and all commissioned work at our discretion.
- Payment methods: We accept credit/debit cards, PayPal, and bank transfer. By providing payment information, you authorize us to charge the applicable amounts.
- Invoices and receipts: Confirmations and receipts are provided digitally via email.
6) Shipping, Delivery, and Risk of Loss
- In-house delivery: Delivery may be handled by us directly to minimize risk of damage, where applicable.
- Lead times: Processing and delivery windows will be communicated at the time of purchase or engagement.
- Risk of loss: The risk of loss or damage passes to you upon delivery by us or our courier, unless otherwise stated in the commission agreement.
7) Returns, Exchanges, and Cancellations
- Sculptural pieces: Returns accepted within 14 days of delivery if in original condition; dents, cracks, or damage forfeiting the piece are not eligible for return.
- Tableware: All tableware orders are final and not eligible for return or exchange.
- Commissions: Commissions are non-returnable unless damaged in transit or due to manufacturing defects as defined in our policy.
- Cancellations: Cancellations before production begins are eligible for a full refund of the deposit. Cancellations after production has begun may incur a processing fee or forfeit the deposit, per the commission agreement.
8) Damages and Defects
- If a product arrives damaged or defective, contact us within 3 days of delivery with photos to arrange remedies (replacement, repair, or refund as applicable).
9) Warranty
- Our products are handmade and may exhibit inherent variations in form, glaze, and finish. Such variations are considered part of the character of bespoke pieces. We provide no guarantee beyond the remedy options described in the Returns and Damages sections.
10) Privacy and Data Security
- We collect and use personal information in accordance with our Privacy Policy. By using the site, you consent to the practices described therein.
11) Limitation of Liability
- To the maximum extent permitted by law, Styewdio shall not be liable for indirect, incidental, special, or consequential damages arising out of or in connection with the use of the site or purchase of products.
- Our total liability for all claims arising from a purchase or commission shall not exceed the amount paid for the relevant product or service.
12) Indemnification
- You agree to indemnify, defend, and hold harmless Styewdio, its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses arising from your use of the site or violation of these Terms.
13) Termination
- We reserve the right to suspend or terminate your access to the site for violations of these Terms, with or without notice, and without refund of any fees paid.
14) Changes to Terms
- We may modify these Terms at any time. When changes are material, we will provide notice via the site or other appropriate means. Your continued use after the change constitutes acceptance of the modified Terms.
15) Dispute Resolution
a) Governing Law
- This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of Singapore.
b) Dispute Resolution (Mediation-First)
- Any dispute, controversy, or claim arising out of or relating to these Terms or the services shall first be attempted to be resolved amicably through good-faith negotiations between the parties.
- If the dispute cannot be resolved amicably within 21 days, the parties agree to attempt mediation under the Singapore Mediation Centre (SMC) Rules, with costs to be borne equally unless otherwise agreed.
c) Arbitration Optional (If Mediation Fails)
- If the dispute remains unresolved after mediation, the parties may refer the matter to arbitration in Singapore under the SIAC Rules, with the seat of arbitration in Singapore. The language of the arbitration shall be English. The award of the arbitrator(s) shall be final and binding on the parties.
d) Interim Relief (Court Access)
- Notwithstanding the above, either party may apply to the courts of Singapore for interim or emergency relief (including injunctions) to protect confidential information, IP rights, or to prevent irreparable harm, without having to wait for mediation or arbitration to conclude.
e) Service of Process and Notices
- Any notice required under these Terms shall be in writing and sent to the contact details provided at account setup or as updated in writing. Notices delivered by email are considered received on the day of transmission, provided there is no bounce-back; physical notices are deemed received upon delivery.
f) Tax Considerations
- GST (where applicable) will be applied in accordance with Singapore tax law. Pricing on the site reflects applicable taxes as required by law.
g) Compliance
- Both parties agree to comply with all applicable Singapore laws and regulations, including consumer protection, data protection, and e-commerce requirements.
h) Confidentiality
- Settlement terms reached during mediation or arbitration remain confidential unless disclosure is required by law or agreed by the parties.
i) Public Policy and Interim Relief
- Nothing in these terms prevents either party from seeking interim relief from Singapore courts if required to protect IP, confidentiality, or to prevent irreparable harm.
16) Force Majeure
- We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, pandemics, government actions).
17) Entire Agreement
- These Terms, together with our Privacy Policy and any applicable commission agreements, constitute the entire agreement between you and Styewdio regarding the site and its services.
